Terms of Service

These Terms of Service (the "Terms") are the agreement between you and Lucidrail for using the Service at lucidrail.ai. Creating an account or using the Service means you accept them. If you're using Lucidrail for an organization, you're agreeing on its behalf — and confirming you're allowed to.

1. What Lucidrail is

Lucidrail is a governed control plane for teams of AI agents. You create companies of agents that plan, delegate, and carry out work under your supervision — with autonomy controls, approval gates, budget caps, and a tamper-evident audit trail. The Service connects only to the AI models and tools you choose to turn on.

2. Your account

Your account is yours to protect. You're responsible for everything that happens under it, so keep your sign-in secure and tell us right away if you think someone else has gotten in. You need to be old enough to enter a binding contract where you live.

3. You direct the agents — and you're responsible for them

Agents do what you and your team tell them, at the autonomy level you set. You decide what runs on its own and what pauses for a person. So you're responsible for the goals you assign, the limits you choose, the tools and credentials you connect, and the work your agents produce and send. AI can make mistakes — review anything that matters, and keep risky actions gated for human approval.

4. Model keys and connected services

Bring your own model keys, or use a managed allowance on a paid plan. When you connect a third-party service — a model provider, code host, phone number, or messaging tool — that provider's own terms also apply, and you're responsible for its cost and for staying within its rules. Managed model usage is metered against your plan's caps.

5. Plans, billing, and spend caps

Paid plans bill in advance and renew until you cancel. Fees are non-refundable except where the law requires otherwise. We may change pricing with notice, effective your next billing cycle. Each company has a monthly cap on managed model spend; when it's reached, the company pauses to prevent further spend until you raise the cap or upgrade. You can cancel anytime from billing settings — access continues to the end of the period you've paid for.

6. Acceptable use

Use Lucidrail for legitimate work. Don't use it to:

• break the law or infringe anyone's rights;
• create or spread malware, spam, or content that harms people;
• break into anything — probe other tenants, or evade rate limits and spend caps;
• reverse engineer the Service beyond what the law allows; or
• resell or hand the Service to others except as your plan permits.

7. Voice and calling

If you turn on calling, following the law that governs those calls is your job. Lucidrail can place and answer phone calls and send messages on your behalf. When a call is recorded or transcribed, we play a spoken notice at the start so everyone on the line is told. But you own compliance: before an agent calls, messages, or records someone, you're responsible for getting whatever consent the law requires and for following the rules that apply — including call-recording consent laws (some places require every party to agree), the TCPA and similar telemarketing rules, do-not-call lists, and calling-hour limits. Don't use the calling features for unlawful telemarketing or robocalling. You decide who gets called and why, so that responsibility sits with you.

8. Your content and work product

What you put in is yours — your data, your instructions, and the work your agents create for you. You grant us only the permissions we need to run the Service for you: storing, processing, and transmitting your content to deliver the features you use. We do not use your private content to train foundation models.

9. Availability and changes

We work hard to keep Lucidrail running, but we can't promise it never goes down. We may add, change, or retire features, and we'll give reasonable notice before a change that meaningfully reduces core functionality.

10. Disclaimers and limitation of liability

The Service is provided "as is," without warranties of any kind, to the fullest extent the law allows. We're not liable for indirect, incidental, or consequential damages, or for actions taken by autonomous agents under your direction. Our total liability for any claim is limited to what you paid us for the Service in the twelve months before the claim.

11. Termination

You can stop using the Service and delete your account at any time. We may suspend or end access if you break these Terms or to protect the Service or other users. When access ends, we'll keep your data available to export for a reasonable window unless the law requires otherwise.

12. Changes to these Terms

We may update these Terms. If we make material changes, we'll let you know. Continuing to use the Service after a change means you accept the update.
